on the terms and procedure for remote purchase of jewellery through an electronic trading platform

This document constitutes a public offer of LLC “Gold Continent” (TIN 311 982 276), hereinafter referred to as the “Seller”, addressed to any individual or legal entity, hereinafter referred to as the “Buyer”, and contains an offer to purchase jewellery through an electronic trading platform under the terms and conditions set out below.

1. General provisions

1.1. This Offer is a public offer in accordance with the current legislation of the Republic of Uzbekistan. Acceptance of this Offer (agreement) confirms the Buyer’s consent to purchase jewellery in the manner and under the terms stipulated herein.

1.2. The Offer shall be deemed accepted and the retail sale and purchase agreement shall be deemed concluded from the moment the Buyer marks in the electronic system “I have read and agree to the terms of the public offer” and confirms acceptance of its terms.

1.3. The Seller ensures confidentiality of the Buyer’s data in accordance with the legislation of the Republic of Uzbekistan.

1.4. This public offer is made in accordance with the legislation of the Republic of Uzbekistan, including Articles 364 (Part 3), 365, 367, 369 and 370 of the Civil Code of the Republic of Uzbekistan, and has legal force as a public offer.

 

2. Subject of the public offer

2.1. The subject of this Offer is the regulation of relations between the Seller and the Buyer arising in connection with the sale and purchase of jewellery through the electronic trading platform. The Seller undertakes to transfer the selected jewellery to the Buyer under the terms of this Offer, and the Buyer undertakes to accept and pay for the Goods in accordance with the terms hereof.

2.2. Information about the Goods (including name, characteristics, description, price and other details) is posted on the webpage of the relevant Goods on the website.

3. Price and payment procedure

3.1. The price of each item is indicated on the electronic trading platform in Uzbek soums (or in foreign currency) and includes taxes and mandatory charges (where applicable) in accordance with the law. The price indicated on the platform is valid at the time of placing the order and is finally fixed at the moment the Seller confirms the order. The Seller may change prices; however, such changes do not apply to confirmed orders.

3.2. Payment may be made by the following methods (subject to availability on the Website/in the region):

– cash upon delivery;

– bank card upon delivery via a payment terminal;

– online payment through integrated payment systems during checkout;

– cash or bank card at the store cashier upon self‑pickup.

3.2.1. For online payments, the order is released for delivery/preparation for pickup after payment confirmation. For payment upon receipt – after confirmation of the order by the Seller.

3.2.2. The Seller provides the Buyer with transaction information in accordance with e‑commerce legislation.

3.3. Placing an order means that the Buyer has read and agreed to the price, description, payment and delivery (pickup) terms and other conditions of this Offer.

3.4. If an obvious technical or software error is detected (for example, a price of “0” or other incorrect information), such order shall be deemed erroneous and shall not be fulfilled. The Seller informs the Buyer and, where possible, offers a correct ordering option or cancels the order. The Seller is not liable for temporary platform or Internet failures beyond its control.

3.5. If a prepayment was made for an erroneous order, the amount shall be refunded in full in accordance with the law and/or payment system rules. Delivery costs (if paid) are refunded in accordance with delivery terms and this Offer.

3.6. Prices may change due to fluctuations in precious metal and gemstone markets (including LBMA quotations), exchange rates and other economic factors. Such changes do not apply to confirmed orders unless otherwise stated.

3.7. Availability of Goods is not guaranteed until the order is confirmed and/or payment is received. If the Goods become unavailable, the Seller informs the Buyer and, at the Buyer’s choice, offers a similar item or cancels the order with a full refund if prepaid.

3.8. If the Goods are unavailable after online payment, the Seller informs the Buyer and, at the Buyer’s choice, offers a replacement or refunds the paid amount in full.

4. Delivery and self‑pickup

4.1. Delivery is available worldwide.

4.2. Delivery is made within 7 calendar days from the date of order confirmation, subject to carrier schedules and conditions. The Buyer shall be notified of any changes.

4.3. Self‑pickup address: Republic of Uzbekistan, Tashkent, Olmazor district, Zamondosh MFY, Umid street, passage 1, 74/1.

4.4. The risk of accidental loss or damage prior to delivery is borne by the carrier. From the moment of transfer to the Buyer, such risk passes to the Buyer.

4.5. Upon receipt, the Buyer must inspect the Goods and packaging and immediately report any visible defects. Claims for visible delivery damage must be made at the time of receipt. This does not limit claims for hidden defects or assay discrepancies under applicable law.

4.6. The Seller is not liable for delivery delays caused by force majeure or actions of third parties beyond its control.

5. Liability

5.1. The Seller is not liable for defects or damage caused by improper use, storage or care by the Buyer.

5.2. Liability for the safety of the Goods during delivery lies with the carrier until transfer to the Buyer.

5.3. The Buyer is responsible for the accuracy of personal and contact information. The Seller is not liable for delays caused by incorrect data.

5.4. The Seller is not liable for payment delays caused by banks or payment systems.

5.5. The Seller is not liable for temporary technical failures of the platform or Internet disruptions beyond its control.

6. Force majeure

6.1. The Parties are released from liability for non‑performance caused by force majeure, including natural disasters, fires, accidents, wars, epidemics/pandemics, strikes, riots, transport, communication or power failures and governmental restrictions.

6.2. Performance deadlines are extended accordingly. If force majeure lasts more than 60 days, either Party may initiate negotiations on further performance or termination.

6.3. Temporary technical failures or incorrect display of information do not create additional obligations for the Seller

6.4. The affected Party must notify the other Party and provide confirmation from a competent authority.

 

7. Dispute resolution

7.1. All disputes shall be resolved through negotiations and pre‑trial claim procedures.

7.2. If unresolved, disputes shall be settled by the courts of the Republic of Uzbekistan at the Seller’s location.

7.3. Buyer’s claims must be submitted in writing and contain details of the claim, order data and supporting documents.

7.4. The Seller reviews complaints within reasonable timeframes in accordance with the law.

8. Final provisions

8.1. The Seller may amend this Offer. The new version applies to orders placed after publication.

8.2. Delivery is made within 1–5 business days, but no later than 7 calendar days, unless otherwise agreed.

8.3. This Offer is governed by the laws of the Republic of Uzbekistan.
